Paralegal - Mergers and Acquisitions

We’re looking for a dedicated Paralegal to support the M&A team with corporate and M&A transactions that Gallagher conducts in the UK, Europe, Middle East and Asia.

You will work closely with colleagues within the M&A team, the Business, Legal, Compliance, IT, Tax, Finance and Marketing in order to deliver acquisitions, intra-group restructuring and other projects.

Your Role:

  • Drafting, negotiating and finalising legal documents such as non-disclosure agreements, board resolutions and transfer agreements.
  • Providing on-going project management and transactional support.  
  • Carrying out contract reviews and other due diligence tasks.
  • Conducting discrete legal research tasks.
  • Updating and maintaining a central archive of project documentation and transaction information.
  • Working closely with colleagues within the Business, Legal, Compliance and other Gallagher functions.
  • Assisting the Legal team with other ad hoc and discrete legal tasks as and when required.
  • Compliance with the Gallagher Professional Standards Manual.
  • Carry out duties following internal policies and procedures in accordance with applicable laws, rules, regulations, good governance and Gallagher’s shared values, in particular, putting clients at the heart of our business.

Your Skills, Experience and Qualifications:

  • Undergraduate law degree or conversion course.
  • Completion of the Legal Practice Course.
  • Sound understanding of relevant law and legal principles.
  • Required IT skills: MS Outlook, Word and Excel.
  • Paralegal experience obtained in the M&A team of a reputable law firm or in-house legal department.
  • Experience working in insurance is advantageous but not essential.
  • Bright, enthusiastic, hard-working, versatile and a quick learner.
  • Excellent interpersonal skills with the ability to communicate effectively via clear and concise written and oral communications.
  • Ability to generate a strong working relationship with the business and other central functions.
  • Comfortable working across multiple tasks and reporting to different team members.
  • Good attention to detail.
  • Excellent organisational and time management skills.
  • Self-motivated, able to prioritise work effectively, meet deadlines and think proactively.
  • Comfortable working in a team environment but equally able to work well with minimum supervision, requesting assistance from other team members as and when required.
  • Problem analysis – the ability to identify the elements of a problem situation, to understand which components are critical and to evaluate the future implications of decisions and actions.
  • Reliable, trustworthy and able to maintain confidentiality
  • Eligible to work in the UK.
